As a guest of the Webinar, You (1) irrevocably consent to the recording, distribution, and reproduction of the Webinar, in addition to the recording, distribution, and reproduction of Your voice, performance, name, biography, and likeness in connection with the Webinar, including marketing, promotion, and future sales; (2) understand and agree that Profitable Pilates is the sole owner of all rights in and to the Webinar, of the recoding(s) and of any derivative(s) thereof, for all purposes; and (3) agree that any materials relating to the production and distribution of the Webinar become property of Profitable Pilates, and that Profitable Pilates shall have the sole and exclusive right to use and distribute such materials, throughout the world, in perpetuity. Nothing in this Agreement shall be construed to obligate Profitable Pilates to use any of the rights granted or acquired in connection to this Agreement, or to make, sell, license, distribute, or otherwise use the Webinar of related material whatsoever.
Notwithstanding the foregoing, Profitable Pilates explicitly disclaims ownership, or any right, title, or interest to the ideas, material, or content shared within the Webinar by You. In the abundance of clarity – Profitable Pilates owns the Webinar recorded as a whole; You still own all rights to slides created for the Webinar, ideas and/or methodologies shared, proprietary methods, intellectual property owned by You shared as part of participation in the Webinar, or any other idea, material, or content which You previously owned and brought to the Webinar.
As a guest, You understand and agree that Profitable Pilates, as the owner of the Webinar, owns the non-exclusive worldwide rights to use, reproduce, distribute, and sell any Webinar to which You are a guest, in whole or in part, in any media, and to license these rights to others, in perpetuity. As such, Profitable Pilates may repurpose the Webinar and distribute it on its platform, or make the Webinar content available for purchase as part of a larger product offerings (such as being part of a digital library available to those with a paid membership only), with access restricted by a paywall.
You understand and agree that Profitable Pilates owes You no compensation related to the recording, distribution, reproduction, or any derivative thereof, of the Webinar, and, as Profitable Pilates is the sole owner of the Webinar, that You disclaim any right, title, and/or interest to any royalties, commissions, sales, monies, or payments due or made to Profitable Pilates in association with the Webinar, or related to your participation therein.
In exchange, Profitable Pilates shall provide for You (1) a limited license to use the Profitable Pilates logo and other branded material to promote Your participation in the Webinar and any related products/services commissioned by Profitable Pilates to which You have a profit share in; (2) promotion of your own brand, business, and services by maintaining your name, contact information, website, and related ‘freebies’ for any paid Webinar customer to access and be able to connect with You.
